Modalités des opérations de stabilisation et l’option de surallocation

Conformément aux dispositions du Règlement (UE) No 596/2014 du Parlement Européen et du Conseil du 16 avril 2014 sur les abus de marché et du Règlement délégué n° 2016/1052 de la Commission européenne du 8 mars 2016, concernant les conditions applicables aux programmes de rachat et aux mesures de stabilisation, J.P. Morgan AG, en sa qualité d’agent stabilisateur, indique avoir réalisé des opérations de stabilisation sur Euronext Paris dans le cadre de l’introduction en bourse de Believe.

Il a été mis fin le 29 juin 2021 à la période de stabilisation qui avait débuté le 9 juin 2021 (après la diffusion du communiqué de presse par Believe annonçant le résultat de l’offre).

Les opérations de stabilisation ont été réalisées dans les fourchettes de prix suivantes :

In addition, J.P. Morgan AG, as stabilizing agent, acting on its own and on behalf of the Managers, has informed the Company that the over-allotment option will not be exercised.

As a result, the total number of Believe shares issued in its initial public offering amounts to 15,384,616 new shares, i.e. an offering size of approximately €300 million. After the initial public offering, the share capital of Believe amounts to €479,267.29, i.e. 95,853,458 ordinary shares with a nominal value of €0.005 per share, representing the same number of voting rights.

In addition, Believe’s share capital and voting rights split set out in the press release announcing the results of its initial public offering, published on 9 June 2021, remains unchanged.
